Amira Labs LLC ("Amira Labs," "Company," "we," "us," or "our") respects your privacy and is committed to protecting the personal information you share with us. This Privacy Policy explains how we collect, use, disclose, retain, and safeguard personal information when you visit our website at amiralabs.com (the "Site"), use our software-as-a-service platform, hardware products, online store, or any other products or services we offer (collectively, the "Services").

This Privacy Policy applies to all individuals who interact with us, including website visitors, prospective and current customers, authorized users of our Services, online store purchasers, recipients of our marketing communications, and any other individuals whose personal information we process in connection with our business operations.

By accessing the Site or using any of our Services, you acknowledge that you have read and understood this Privacy Policy. If you do not agree with the practices described herein, please do not access the Site or use our Services.

This Privacy Policy does not apply to information collected by third parties, including any third-party websites, services, or applications that may link to or be accessible from our Site.

2. Information We Collect

We collect personal information in several ways, including information you provide directly to us, information collected automatically when you interact with our Site and Services, and information obtained from third-party sources.

2.1 Information You Provide Directly

We collect personal information that you voluntarily provide to us, including but not limited to:

Account and Contact Information. When you create an account, request a demo, contact sales, submit a support request, make a purchase through our online store, subscribe to our newsletter, register for an event, or otherwise communicate with us, we may collect your name, email address, phone number, job title, company name, company address, billing address, shipping address, and professional credentials.

Transaction and Payment Information. When you make purchases through our online store or subscribe to our Services, we collect information necessary to process your transaction, including billing and shipping addresses, purchase history, and order details. Payment card information is processed by our third-party payment processors and is not stored on our systems.

Communications. When you contact us via email, phone, web form, live chat, or any other communication channel, we collect the content of your communications, including any personal information you include therein.

User Content and Service Data. When you use our Services, you may upload, transmit, or otherwise provide content, data, and information to or through our platform ("Customer Data"). The processing of Customer Data is governed by our customer agreements, including our Data Processing Agreement.

Marketing Preferences. When you subscribe to our marketing communications or submit information through our marketing channels, we collect your communication preferences and any information you provide in connection with promotional activities.

Job Application Information. If you apply for employment with us, we collect information contained in your application, resume, or curriculum vitae, including your name, contact information, employment history, educational background, and professional qualifications.

2.2 Information Collected Automatically

When you access our Site or use our Services, we automatically collect certain information, including:

Device and Browser Information. We collect information about the device and browser you use to access our Site, including your IP address, device type, operating system, browser type and version, screen resolution, device identifiers, and language preferences.

Usage Data. We collect information about your interactions with our Site and Services, including pages visited, links clicked, features used, date and time of access, referring URLs, exit pages, and the duration of your visit.

Location Data. We may infer your approximate geographic location based on your IP address. We do not collect precise geolocation data unless you explicitly provide it.

Log Data. Our servers automatically record information created by your use of our Site and Services, including server logs, access times, error logs, and system activity.

Business Partners and Resellers. We may receive contact information and business details from our channel partners, resellers, distributors, and other business partners.

Public and Commercial Sources. We may collect professional and business contact information from publicly available sources, industry directories, social media platforms (such as LinkedIn), trade show attendee lists, and commercial data providers to support our business-to-business marketing and sales activities.

Analytics and Advertising Providers. We may receive aggregated or de-identified analytics data and information about your interactions with our advertising from our analytics and advertising partners.

3. How We Use Your Information

We use the personal information we collect for the following purposes:

Providing and Improving Our Services. To operate, maintain, deliver, personalize, and improve our Site and Services; to process transactions and fulfill orders through our online store; to provide customer support and technical assistance; to communicate with you about your account, orders, subscriptions, and service-related matters; and to develop new products, features, and functionality.

Marketing and Advertising. To send you marketing communications, promotional offers, newsletters, product updates, event invitations, and other information about our products and services that may be of interest to you, subject to your communication preferences and applicable law. We may use customer-submitted information, including your contact details, company information, job title, and professional interests, to tailor and deliver marketing and advertising content to you across various channels, including email, direct mail, social media, and digital advertising platforms. You may opt out of receiving marketing communications at any time as described in Section 8 of this Privacy Policy.

Analytics and Research. To analyze usage trends, measure the effectiveness of our marketing campaigns, conduct research and development, and generate aggregated or de-identified insights to improve our products and services.

Artificial Intelligence and Machine Learning. Our Services incorporate artificial intelligence and machine learning technologies to detect, understand, and resolve media issues in real time. We process certain data through our AI models to deliver the core functionality of our Services, including but not limited to media monitoring, compliance analysis, language identification, and quality control automation. We do not use Customer Data to train our general-purpose AI models without explicit, separate consent from the customer. Any use of data for AI model improvement is governed by our customer agreements.

Security and Fraud Prevention. To detect, investigate, prevent, and respond to security incidents, fraud, unauthorized access, and other illegal or malicious activities; to enforce our Terms and Conditions and other agreements; and to protect the rights, property, and safety of Amira Labs, our customers, and third parties.

Legal Compliance. To comply with applicable laws, regulations, legal processes, and government requests; to establish, exercise, or defend legal claims; and to fulfill our regulatory and contractual obligations.

Business Operations. To manage our business operations, including accounting, auditing, record-keeping, reporting, and corporate governance activities.

We do not sell your personal information. We do not rent your personal information. We may share or disclose your personal information in the following circumstances:

4.1 Service Providers and Processors

We share personal information with third-party service providers and processors who perform services on our behalf, including but not limited to cloud hosting and infrastructure providers, payment processors, email delivery services, analytics providers, customer relationship management platforms, marketing and advertising platforms, and professional advisors (legal, accounting, audit). These service providers are contractually obligated to use your personal information only as necessary to perform services on our behalf and in accordance with our instructions, and to maintain appropriate security measures to protect your information.

4.2 Business Transfers

In connection with, or during negotiations of, any merger, acquisition, sale of assets, financing, bankruptcy, reorganization, dissolution, or other business transaction involving all or a portion of our assets, personal information may be transferred, sold, or otherwise shared as part of such transaction. We will provide notice before your personal information is transferred and becomes subject to a different privacy policy.

4.3 Legal Requirements and Protection of Rights

We may disclose your personal information if required to do so by law or in the good faith belief that such action is necessary to comply with a legal obligation, court order, subpoena, or government request; to protect and defend the rights, property, or safety of Amira Labs, our customers, or third parties; to enforce our Terms and Conditions, Data Processing Agreement, or other agreements; to detect, prevent, or address fraud, security issues, or technical problems; or to respond to an emergency involving danger to the personal safety of any person.

We may share your personal information with third parties when you have given us your explicit consent to do so.

4.5 Aggregated and De-Identified Information

We may share aggregated, anonymized, or de-identified information that cannot reasonably be used to identify you with third parties for any purpose, including research, analytics, benchmarking, and marketing. Such information is not considered personal information under this Privacy Policy.

4.6 Advertising and Marketing Partners

We may share certain information, such as your email address, company name, job title, and professional interests, with advertising and marketing platforms to deliver targeted advertising and marketing communications to you. To the extent that such sharing constitutes a "sale" or "sharing" of personal information under applicable law (including the California Consumer Privacy Act), you have the right to opt out as described in Section 7 of this Privacy Policy.

5. Data Retention

We retain personal information for as long as reasonably necessary to fulfill the purposes for which it was collected, as described in this Privacy Policy, unless a longer retention period is required or permitted by applicable law.

In determining the appropriate retention period, we consider the amount, nature, and sensitivity of the personal information; the potential risk of harm from unauthorized use or disclosure; the purposes for which we process the personal information and whether we can achieve those purposes through other means; applicable legal, regulatory, tax, accounting, or other requirements; and the statute of limitations for potential legal claims.

When personal information is no longer necessary for the purposes for which it was collected, we will securely delete or de-identify it in accordance with our data retention policies and applicable law. If deletion is not immediately possible (for example, because personal information has been stored in backup archives), we will securely store the personal information and isolate it from any further processing until deletion is possible.

6. Data Security

We implement and maintain reasonable administrative, technical, and physical security measures designed to protect personal information from unauthorized access, use, alteration, disclosure, and destruction. These measures include, but are not limited to, encryption of data in transit and at rest, access controls and authentication mechanisms, regular security assessments and penetration testing, employee security training, incident response procedures, and physical security controls for our facilities and hardware.

Despite our efforts, no method of transmission over the internet and no method of electronic storage is completely secure. We cannot guarantee the absolute security of your personal information. If we become aware of a security breach that affects your personal information, we will notify you and the applicable supervisory authorities in accordance with applicable law.

7. Your Privacy Rights

Depending on your jurisdiction, you may have certain rights with respect to your personal information. We are committed to honoring these rights in accordance with applicable law.

7.1 Rights for All Individuals

Regardless of your location, you may:

Opt out of marketing communications. You may unsubscribe from our marketing emails at any time by clicking the "unsubscribe" link in any marketing email or by contacting us at privacy@amiralabs.com. Please note that even if you opt out of marketing communications, we may still send you transactional and service-related communications.

Request information. You may contact us at any time to request information about the personal information we hold about you and how we process it.

7.2 Rights Under US State Privacy Laws

If you are a resident of California, Virginia, Colorado, Connecticut, Utah, Texas, Oregon, Montana, Iowa, Delaware, New Hampshire, New Jersey, Nebraska, Tennessee, Minnesota, Maryland, Indiana, Kentucky, Rhode Island, or any other state with applicable privacy legislation, you may have the following rights, subject to certain exceptions and limitations:

Right to Know / Right of Access. You have the right to request that we disclose the categories and specific pieces of personal information we have collected about you, the categories of sources from which the information was collected, the business or commercial purposes for collecting or selling the information, and the categories of third parties with whom we have shared the information.

Right to Delete. You have the right to request the deletion of personal information we have collected about you, subject to certain exceptions permitted by law.

Right to Correct. You have the right to request the correction of inaccurate personal information we maintain about you.

Right to Opt Out of Sale or Sharing. You have the right to opt out of the "sale" or "sharing" (as defined under applicable law) of your personal information for purposes of targeted advertising or cross-context behavioral advertising. To exercise this right, submit a request at privacy@amiralabs.com. We do not currently display a “Do Not Sell or Share My Personal Information” link or automatically honor browser Global Privacy Control (GPC) signals on the Site.

Right to Opt Out of Profiling / Automated Decision-Making. Where applicable, you have the right to opt out of profiling in furtherance of decisions that produce legal or similarly significant effects concerning you.

Right to Limit Use of Sensitive Personal Information. If we collect sensitive personal information (as defined by applicable law), you have the right to limit our use and disclosure of such information to purposes necessary to perform the Services.

Right to Data Portability. You have the right to receive your personal information in a structured, commonly used, and machine-readable format and to transmit that information to another controller.

Right to Non-Discrimination. We will not discriminate against you for exercising any of your privacy rights.

Right to Appeal. If we deny your privacy request, you have the right to appeal our decision. To appeal, please contact us at privacy@amiralabs.com with the subject line "Privacy Rights Appeal."

Authorized Agents. You may designate an authorized agent to submit requests on your behalf. We may require verification of your identity and the agent's authority to act on your behalf.

To exercise any of these rights, please contact us at privacy@amiralabs.com or write to us at the address provided in Section 16. We will verify your identity before fulfilling your request and will respond within the timeframe required by applicable law (generally 30 to 45 days, with extensions where permitted).

7.3 California-Specific Disclosures (CCPA/CPRA)

In the preceding twelve (12) months, we have collected the following categories of personal information: identifiers (name, email address, IP address, account name); commercial information (purchase history, records of products or services purchased); internet or other electronic network activity information (browsing history, search history, interaction with our Site); geolocation data (approximate location derived from IP address); professional or employment-related information (job title, employer, professional credentials); and inferences drawn from any of the above.

Sources of Collection. We collect personal information from you directly, automatically through your use of our Site and Services, and from third-party sources as described in Section 2.

Business or Commercial Purposes. We collect personal information for the purposes described in Section 3.

Sharing for Targeted Advertising. We may share certain personal information (such as identifiers and internet activity information) with advertising partners for purposes of targeted advertising, which may constitute "sharing" under the CCPA/CPRA. You may opt out of this sharing as described above.

We Do Not Sell Personal Information. We do not sell personal information for monetary consideration.

Sensitive Personal Information. We do not collect or process sensitive personal information as defined under the CCPA/CPRA for purposes other than those permitted by law.

Retention. We retain each category of personal information for the period described in Section 5.

Financial Incentives. We do not offer financial incentives for the collection, sale, retention, or deletion of personal information.

7.4 Maryland-Specific Disclosures (MODPA)

As a Maryland-based company, we comply with the Maryland Online Data Privacy Act (MODPA). In accordance with MODPA:

We collect only personal data that is reasonably necessary and proportionate to the purposes disclosed in this Privacy Policy. We do not sell sensitive data. We do not process the personal data of individuals known to be under the age of eighteen (18) for purposes of targeted advertising, sale, or profiling in furtherance of decisions that produce legal or similarly significant effects. Maryland residents may exercise opt-out and other MODPA rights by emailing privacy@amiralabs.com; the Site does not currently auto-honor browser Global Privacy Control signals. Maryland residents have the right to access, correct, delete, and obtain a copy of their personal data, and to opt out of targeted advertising, profiling, and the sale of personal data. Violations of MODPA are treated as unfair trade practices under the Maryland Consumer Protection Act.

If you are located in the European Economic Area (EEA), you have the following rights under the GDPR:

Right of Access (Article 15). You have the right to obtain confirmation as to whether we are processing your personal data and, where that is the case, to access the personal data and specified information about the processing.

Right to Rectification (Article 16). You have the right to obtain the rectification of inaccurate personal data concerning you without undue delay.

Right to Erasure (Article 17). You have the right to obtain the erasure of personal data concerning you without undue delay where one of the specified grounds applies.

Right to Restriction of Processing (Article 18). You have the right to obtain restriction of processing where one of the specified grounds applies.

Right to Data Portability (Article 20). You have the right to receive personal data concerning you in a structured, commonly used, and machine-readable format and to transmit those data to another controller.

Right to Object (Article 21). You have the right to object, on grounds relating to your particular situation, at any time to processing of personal data concerning you based on legitimate interest. Where personal data are processed for direct marketing purposes, you have the right to object at any time to processing for such marketing.

Rights Related to Automated Decision-Making (Article 22). You have the right not to be subject to a decision based solely on automated processing, including profiling, which produces legal effects concerning you or similarly significantly affects you, except in specified circumstances. Where our Services employ automated processing, including AI-powered analysis, you have the right to obtain human intervention, to express your point of view, and to contest the decision.

Right to Withdraw Consent. Where processing is based on your consent, you have the right to withdraw consent at any time, without affecting the lawfulness of processing based on consent before its withdrawal.

Right to Lodge a Complaint. You have the right to lodge a complaint with a supervisory authority in the EU Member State of your habitual residence, place of work, or place of the alleged infringement.

Legal Bases for Processing (EEA). We process your personal data on the following legal bases: performance of a contract (Article 6(1)(b)) — to deliver and support our Services; legitimate interests (Article 6(1)(f)) — for business-to-business marketing, fraud prevention, security, and service improvement, where our interests are not overridden by your rights; consent (Article 6(1)(a)) — for marketing communications and non-essential cookies; and legal obligation (Article 6(1)(c)) — to comply with applicable laws.

Data Controller. Amira Labs LLC is the data controller for personal data processed in connection with our Site and direct business interactions. For Customer Data processed through our Services, we act as a data processor on behalf of our customers, who are the data controllers. Processing of Customer Data is governed by our Data Processing Agreement.

International Data Transfers. When we transfer personal data from the EEA to the United States, we rely on the EU-US Data Privacy Framework (DPF), where applicable, and the European Commission's Standard Contractual Clauses (SCCs) as appropriate safeguards. You may obtain a copy of the SCCs by contacting us at privacy@amiralabs.com.

Data Protection Officer. For inquiries about our data protection practices, please contact us at privacy@amiralabs.com.

If you are located in the United Kingdom, you have substantially similar rights to those described under the GDPR in Section 7.5 above. We rely on the UK-US Data Bridge (extension of the Data Privacy Framework) and UK International Data Transfer Agreements (IDTAs) or UK Addendum to the EU SCCs for international transfers of personal data from the United Kingdom. You have the right to lodge a complaint with the Information Commissioner's Office (ICO). Contact: ico.org.uk.

7.7 Rights Under Brazil's LGPD

If you are located in Brazil, you have the following rights under the Lei Geral de Proteção de Dados (LGPD): confirmation of the existence of processing; access to your data; correction of incomplete, inaccurate, or outdated data; anonymization, blocking, or deletion of unnecessary, excessive, or noncompliant data; data portability; deletion of data processed with your consent; information about public and private entities with which your data has been shared; information about the possibility of denying consent and the consequences of such denial; and revocation of consent.

We will respond to requests within fifteen (15) days as required by the LGPD. For international transfers of personal data from Brazil, we implement Brazilian Standard Contractual Clauses (ANPD Resolution CD/ANPD No. 19/2024) as required by Brazilian law.

7.8 Rights Under Japan's APPI

If you are located in Japan, you have the right to request disclosure, correction, cessation of use, cessation of provision to third parties, and deletion of your personal information in accordance with the Act on the Protection of Personal Information (APPI). When transferring personal data from Japan to the United States, we implement contractual safeguards and conduct annual compliance monitoring as required by the APPI. We disclose that the United States is not currently on Japan's adequacy whitelist, and we rely on contractual protections equivalent to Japanese data protection standards.

7.9 Rights Under South Korea's PIPA

If you are located in South Korea, you have rights under the Personal Information Protection Act (PIPA), including the right to access, correct, delete, and suspend processing of your personal information. Cross-border transfers of personal data from South Korea are conducted with separate, specific consent and in accordance with applicable PIPA requirements. 8. Marketing Communications and CAN-SPAM Compliance

We may send you marketing and promotional communications by email, including product announcements, newsletters, event invitations, special offers, and other information about our products and services. All commercial emails we send comply with the CAN-SPAM Act (15 U.S.C. § 7701 et seq.) and applicable international anti-spam laws.

Every marketing email we send will clearly identify Amira Labs as the sender, include our valid physical postal address, include a clear and conspicuous opt-out mechanism, and honor opt-out requests within ten (10) business days.

To opt out of marketing communications, you may click the "unsubscribe" link in any marketing email, email us at privacy@amiralabs.com with the subject line "Unsubscribe," or write to us at the address in Section 16.

Please note that opting out of marketing communications does not affect transactional or service-related communications, which we may continue to send to you regarding your account, orders, subscriptions, security alerts, and other non-promotional matters.

9. Children's Privacy

Our Site and Services are not directed to individuals under the age of sixteen (16), and we do not knowingly collect, use, or disclose personal information from individuals under the age of sixteen (16). If you are a parent or guardian and believe that your child has provided us with personal information, please contact us at privacy@amiralabs.com, and we will take steps to delete such information from our systems.

In jurisdictions where the age of majority or the applicable age of consent for data processing differs, we comply with the relevant local requirements. Under the Maryland Online Data Privacy Act, we do not process personal data of individuals known to be under eighteen (18) for purposes of targeted advertising, sale of personal data, or profiling.

10.1 What Are Cookies

Cookies are small text files placed on your device when you visit a website. We use cookies and similar tracking technologies (including web beacons, pixels, local storage, and session storage) to operate our Site, analyze usage, personalize your experience, and deliver relevant advertising.

10.2 Types of Cookies We Use

Strictly Necessary Cookies. These cookies are essential for the operation of our Site, including session management, authentication, security, and shopping cart functionality. These cookies do not require your consent and cannot be disabled without affecting the functionality of our Site.

Current Site posture (US soft-launch). The Site does not currently show a cookie consent banner or in-product cookie settings panel. When analytics is enabled, we may set analytics cookies (for example via PostHog) when you load the Site. The Site is operated primarily for a United States audience. If you are located in the EEA, UK, Brazil, Japan, South Korea, or another jurisdiction that requires prior consent for non-essential cookies, do not use the Site until we offer a consent mechanism, or contact privacy@amiralabs.com to request that we disable analytics for your visit.

United States opt-outs. Residents of US states with applicable privacy laws may request opt-out of sale/sharing or targeted advertising uses by emailing privacy@amiralabs.com. We do not currently automatically honor Global Privacy Control (GPC) signals on the Site.

10.4 Managing Cookies

You can control cookies through your browser settings. Most browsers allow you to refuse or delete cookies, set preferences for certain types of cookies, and browse in private or incognito mode. Please note that disabling cookies may affect the functionality of our Site.

10.5 Third-Party Cookies

Our Site may contain cookies placed by third-party service providers, including analytics platforms, advertising networks, and social media platforms. We do not control these third-party cookies, and their use is subject to the respective third party's privacy policy.

11. International Data Transfers

Amira Labs is headquartered in the United States, and your personal information may be transferred to, stored, and processed in the United States or other countries where our service providers operate. These countries may have data protection laws that differ from those in your country of residence.

When we transfer personal data across borders, we implement appropriate safeguards to ensure that your personal information receives an adequate level of protection, including:

EU-US Data Privacy Framework (DPF). For transfers from the EEA, we rely on the EU-US Data Privacy Framework where applicable.

UK-US Data Bridge. For transfers from the United Kingdom, we rely on the UK Extension to the EU-US Data Privacy Framework where applicable.

Standard Contractual Clauses (SCCs). For transfers from the EEA and UK, we execute the European Commission's Standard Contractual Clauses (and/or the UK International Data Transfer Agreement or UK Addendum) as appropriate safeguards.

Brazilian Standard Contractual Clauses. For transfers from Brazil, we implement the Brazilian Standard Contractual Clauses adopted pursuant to ANPD Resolution CD/ANPD No. 19/2024.

Japan APPI Safeguards. For transfers from Japan, we implement contractual safeguards with annual compliance verification, and we disclose the data protection standards applicable in the destination country.

South Korea PIPA Safeguards. For transfers from South Korea, we obtain separate, specific consent for cross-border transfers and implement appropriate protections in accordance with PIPA.

12. Artificial Intelligence and Automated Processing Disclosures

Our Services incorporate artificial intelligence and machine learning technologies for media monitoring, compliance analysis, quality control, and related functions. We are committed to transparency regarding our use of AI.

How AI Processes Data. Our AI models analyze audio, video, and metadata streams to detect anomalies, monitor compliance, identify languages, assess quality, and generate alerts. The logic underlying these processes involves trained machine learning models that evaluate media signals against defined parameters and thresholds.

Automated Decision-Making. Our Services may involve automated processing that assists our customers in making operational decisions regarding media quality and compliance. The significance and consequences of such processing depend on how our customers configure and use our Services. We recommend that our customers maintain human oversight of AI-generated outputs and verify results before taking consequential actions.

Customer Data and AI Training. We do not use Customer Data to train our general-purpose AI models without explicit, separate written consent from the customer. Aggregated, anonymized, and de-identified data may be used to improve our Services and develop new features.

AI Output Accuracy. AI-generated outputs are probabilistic in nature and may contain errors. Results generated by our AI models are provided for informational and operational assistance purposes and should be verified by qualified personnel. Amira Labs does not warrant the accuracy, completeness, or reliability of AI-generated outputs.

Your Rights Regarding Automated Processing. Depending on your jurisdiction, you may have the right to: obtain human intervention in automated decisions; express your point of view regarding automated processing; contest decisions made through automated processing; and opt out of profiling in furtherance of decisions that produce legal or similarly significant effects.

13. Do Not Track and Global Privacy Control

17. Supplemental Notices

17.1 Notice to Maryland Residents

In accordance with the Maryland Personal Information Protection Act (PIPA), we implement reasonable security procedures and practices appropriate to the nature of the personal information we maintain.
